If you engage Smashing Numbers LLC for professional services, the engagement letter or professional-services agreement governs those services and controls over these Terms in the event of a conflict. Any additional terms presented for a specific tool or program govern that feature. These Terms govern access to and use of the Platform itself, and the Privacy Notice is a statement of our information practices, not a service contract.
2. No Professional-Client Relationship
Visiting this website, using a tool or calculator, reading a blog entry or article, or submitting a contact form does not establish a CPA-client, accountant-client, advisory, coaching, or fiduciary relationship between you and Smashing Numbers LLC. A professional relationship is established only upon express acceptance of an engagement by Smashing Numbers LLC under a written engagement letter or professional-services agreement.
3. Services Described on This Platform
Smashing Numbers LLC may provide tax planning and preparation, cash-flow advisory, Virtual CFO and fractional CFO services, bookkeeping, payroll processing and administration, sales-tax compliance, Profit First coaching and content, Pumpkin Plan business-growth strategy, and growth coaching and advisory services. Descriptions are for informational purposes and may not represent an offer or guarantee of availability.
4. Educational and Informational Intent
All blog entries, articles, downloadable materials, interactive calculators, including the Profit First Calculator and Financial Assessment tool, and other content are provided for general educational and informational purposes only. 9. User Conduct
You agree not to use the Platform in a way that violates law; infringes intellectual-property, privacy, or other rights; introduces malicious code or disruptive technologies; attempts. unauthorized access; or collects Platform data through automated scraping, bots, or similar tools.
10. Access, Eligibility, and Suspension
The Platform is intended for users who are at least 18 years old. If you use the Platform on behalf of a business, you represent that you have authority to bind that business to this Agreement. Smashing Numbers LLC grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Platform and its content for your own informational and business-evaluation purposes. We may suspend, restrict, or terminate access to the Platform, or modify or discontinue any feature, at any time without notice and without liability. Any information you choose to transmit outside the designated secure client portal, including through general website forms or text messages, is transmitted at your own election and risk, to the extent permitted by applicable law.

The Platform may contain links to third-party websites, tools, or resources, including Jotform, Qount, GoHighLevel, Calendly, QuickBooks, and Google platforms. Smashing Numbers LLC is not responsible for their content, privacy practices, security, or terms. Use external links at your own risk.
12. Modification of Terms
Smashing Numbers LLC may revise these Terms prospectively by posting an updated. version with a revised. effective date shown at the top of this document. We will provide any additional notice or obtain any assent required by applicable law before a material change takes effect.

SMASHING NUMBERS LLC DOES NOT WARRANT THAT THE PLATFORM WILL BE AVAILABLE, UNINTERRUPTED, SECURE, OR FREE OF ERRORS, OMISSIONS, VIRUSES, OR OTHER HARMFUL COMPONENTS, AND MAKES NO WARRANTY REGARDING ANY THIRD-PARTY SERVICE ACCESSIBLE THROUGH THE PLATFORM. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME EXCLUSIONS MAY NOT APPLY TO YOU.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SMASHING NUMBERS LLC, ITS. OFFICERS, MEMBERS, EMPLOYEES, AGENTS, AND CONTRACTORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITY, OR USE, ARISING FROM OR RELATED TO ACCESS TO OR USE OF THE PLATFORM, ITS CONTENT, OR ITS TOOLS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF SMASHING NUMBERS LLC, ITS OFFICERS, MEMBERS, EMPLOYEES, AGENTS, AND CONTRACTORS ARISING FROM OR RELATED TO THE PLATFORM, ITS CONTENT, OR ITS TOOLS WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (US $100) OR THE AMOUNTS YOU PAID FOR THE PLATFORM FEATURE GIVING RISE TO THE CLAIM IN THE TWELVE MONTHS PRECEDING THE CLAIM. CLAIMS ARISING FROM PROFESSIONAL SERVICES ARE GOVERNED EXCLUSIVELY BY THE APPLICABLE ENGAGEMENT LETTER OR PROFESSIONAL-SERVICES AGREEMENT AND ARE NOT SUBJECT TO THIS SECTION. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT LAWFULLY BE LIMITED.
15. Indemnification
You agree to indemnify, defend, and hold harmless Smashing Numbers LLC and its officers, members, employees, agents, and contractors from claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising from your unlawful use of the. Platform, your material breach of these Terms, content you submit, unauthorized access to or interference with the Platform, or your violation of a third party’s rights, to the extent permitted by law. Smashing Numbers LLC may assume the exclusive defense and control of any matter otherwise subject to indemnification, in which case you agree to cooperate with that defense, and you may not settle any claim affecting Smashing Numbers LLC without its prior written consent.
16. Governing Law and Jurisdiction
These Terms and disputes related to Platform use are governed by the internal laws of the State of Iowa, without regard to conflict-of-law provisions. Any legal action must be brought in a state or federal court located in Iowa, and you consent to the personal of and venue in those courts, unless applicable law requires otherwise.
17. Severability
If a court finds a provision of these Terms unenforceable or invalid, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in effect.
18. General Provisions
Smashing Numbers LLC
A failure to enforce any provision is not a waiver of it. This Agreement, together with any feature-specific terms described in Section 1, constitutes the entire agreement between you and Smashing Numbers LLC regarding use of the Platform. Provisions that by their nature should survive, including intellectual-property, warranty-disclaimer, limitation-of liability, indemnification, and governing-law provisions, survive termination of this Agreement or your discontinued use of the Platform. We may provide notices electronically, including by posting to the Platform or by email to an address you provide. If you submit ideas, suggestions, or feedback about the Platform, we may use them without restriction or compensation.
